Terms of service

Midwave, Inc. (hereinafter referred to as "the Company") sets forth the following Terms of Service (hereinafter referred to as "these Terms") regarding the services (hereinafter referred to as "the Service") provided through the website "Paint Yours" (hereinafter referred to as "the Site"). By using the Site, the user (as defined in Article 3) is deemed to have agreed to these Terms. Please be sure to read these Terms before use.
Article 1 Changes to These Terms
- The Company may change these Terms at any time after providing notice through appropriate means when it deems necessary. However, if such changes require the user's consent under applicable laws, the Company shall obtain the user's consent through methods designated by the Company.
- If a user uses the Service after the Company has changed these Terms, the user shall be deemed to have agreed to the revised Terms.
Article 2 Use of the Service
- Users shall comply with laws and ordinances and shall agree in advance to these Terms and the guidelines incidental to the Service.
- Minor users may not use the Service without the prior consent of a qualified legal representative.
Article 3 Users
In these Terms, "user" refers to a person who, having understood and accepted the contents of these Terms in their entirety, searches, browses, or otherwise uses the images, text, designs, logos, videos, information, etc. provided by the Company through the Service.
Article 4 Member Registration and Account Management
- Users may register as members through the prescribed method in order to use certain functions of the Service.
- When registering as a member, users must provide true, accurate, and up-to-date information (hereinafter "registration information"). If there are any changes to the registration information, users shall promptly carry out the procedures for modification.
- Users shall manage their login information (email address, password, etc.) at their own responsibility, and shall not transfer, lend, or allow third parties to use such information. The Company shall not be liable for any damages arising from unauthorized use of login information.
- If you wish to withdraw your membership, please contact us through the inquiry form. However, contracts and transactions already concluded at the time of withdrawal shall remain in effect after withdrawal, and these Terms shall continue to apply.
Article 5 Use of Personal Information
Personal information of users that the Company becomes aware of in connection with the use of the Service shall be handled in accordance with the Privacy Policy established by the Company.
Article 6 Purchase of Products, etc.
- When a user wishes to purchase products, etc., the user shall place an order and complete payment procedures in accordance with the methods specified on the Site or otherwise designated by the Company.
- A sales contract for the relevant products, etc. shall be concluded at the time the order and payment procedures are completed.
- Notwithstanding the provisions of the preceding paragraph, in the event of any fraudulent or inappropriate conduct in connection with the use of the Service, the Company may cancel the sales contract or take other appropriate measures.
Article 7 Returns and Exchanges
Please refer to the Notation based on the Specified Commercial Transactions Act established by the Company.
Article 8: Membership Program
- Users who complete member registration through the Company's designated method may use member benefits such as the earning and redemption of points.

- The content of member benefits may be changed or discontinued at the Company's discretion without prior notice.
- Regardless of the reason, the Company bears no responsibility to restore, compensate, or indemnify for any loss of point records.
Article 9 Review Posts
- Users may post reviews on the Site only to the extent that the content is based on their actual experience of using a product or the Site.
- The copyright (including the rights set forth in Articles 27 and 28 of the Copyright Act), management rights, and other rights to the content posted on the Site (hereinafter "review posts") shall belong to the Company. Furthermore, users shall not exercise their moral rights as authors.
- The Company may use review posts free of charge by means of reproduction, editing, adaptation, posting, public transmission, etc. for the purposes of operating the Service, advertising, sales promotion, and other purposes.
- If the Company determines that a review post falls under any of the following, the Company may delete, hide, or modify all or part of the post without prior notice to the user.
- (1) Posts containing false content or expressions inconsistent with the facts
- (2) Posts impersonating others
- (3) Posts that infringe upon the rights of third parties (copyright, trademark rights, portrait rights, privacy, etc.)
- (4) Posts intended for advertising, promotion, sales, solicitation, etc.
- (5) Posts containing slander, discriminatory expressions, or content contrary to public order and morals
- (6) Any other posts containing content that the Company deems inappropriate
Article 10 Disclaimer
The Company shall not be liable for any damages arising in connection with the provision of the Service, except in cases of willful misconduct or gross negligence on the part of the Company. The same shall apply to damages arising from interruption, delay, data loss, unauthorized access by third parties, etc. of the Service. The Company's liability for damages, except in cases of willful misconduct or gross negligence on the part of the Company, shall be limited to direct and ordinary damages, shall not include lost profits or indirect damages, and shall be capped at the consideration for the Service actually received by the Company from the user through the transaction that caused the damages.
Article 11 Prohibited Acts
- (1) Acts that violate the "Guidelines on Copyright, etc." established by the Company
- (2) Acts that cause, or may cause, nuisance, disadvantage, or damage to third parties or the Company
- (3) Acts of collecting, accumulating, or storing the personal information of other users
- (4) Acts of registering information containing impersonation, falsehood, or misleading content
- (5) Technical interference such as unauthorized access, tampering, or transmission of viruses
- (6) Acts that cause economic or psychological damage to others, or acts of threatening or defaming others
- (7) Other speech and conduct that damages or undermines the credibility of the Company, acts that hinder the provision of the Service, speech and conduct that violates laws or public order and morals, and other acts that the Company reasonably deems inappropriate
Article 12 Intellectual Property Rights
The copyrights and other rights to the content on the Site (images, text, logos, etc.) belong to the Company or the rightful right holders. Unauthorized use or reproduction of the content on the Site by users is prohibited.
Article 13 Suspension of the Service, etc.
- The Company may temporarily suspend or discontinue all or part of the provision of the Service without prior notice to users for any of the following reasons:
- (1) When performing maintenance, inspection, or repair of the Company's systems
- (2) When the provision of the Service becomes impossible due to natural disasters such as fire, earthquake, or lightning
- (3) When the provision of the Service becomes impossible due to social unrest such as war, civil war, terrorism, or riots
- (4) Other cases where temporary suspension or discontinuation of the provision of the Service is necessary for operational or technical reasons
- The Company shall not be liable for any damages incurred by users as a result of measures taken by the Company pursuant to the preceding paragraph, except in cases of willful misconduct or gross negligence on the part of the Company.
Article 13 Cancellation of Registration, etc.
- If a user falls under any of the following items, the Company may temporarily suspend such user's use of the Service or cancel the user's registration without prior notice or demand:
- (1) When the user violates any of the provisions of these Terms
- (2) When it is found that there is false information in the registration information
- (3) When the user has used or attempted to use the Service for purposes or in ways that may cause damage to the Company, other users, external SNS providers, or other third parties
- (4) When the user is unable to receive services or integration from an external SNS provider due to violation of the external SNS terms of use or other reasons
- (5) When the user obstructs the operation of the Service by any means
- (6) When the user becomes unable to make payments or insolvent, or when a petition for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation, or similar proceedings is filed
- (7) When a bill or check drawn or accepted by the user is dishonored, or when the user receives a suspension of transactions by a bill clearing house or any similar measure
- (8) When a petition for attachment, provisional attachment, provisional disposition, compulsory execution, or auction is filed
- (9) When the user is subject to disposition for delinquency in payment of taxes and public dues
- (10) When the user dies or receives a ruling for the commencement of guardianship, curatorship, or assistance
- (11) Other cases where the Company reasonably determines that it is inappropriate to continue the user's registration
- If any of the items in the preceding paragraph applies, the user shall automatically lose the benefit of time with respect to all obligations owed to the Company and shall immediately pay all debts to the Company.
- The Company shall not be liable for any damages incurred by users as a result of actions taken by the Company pursuant to this Article, except in cases of willful misconduct or gross negligence on the part of the Company.
Article 15 Assignment of These Terms, etc.
- Users may not assign, transfer, pledge as security, or otherwise dispose of their contractual position under these Terms or their rights or obligations under these Terms to a third party without the prior written consent of the Company.
- In the event that the Company transfers the business pertaining to the Service to a third party (regardless of the form, such as business transfer or company split), the Company may transfer to the transferee of such transfer the contractual position under these Terms, the rights and obligations under these Terms, and the registration information and other customer information of users, and users shall be deemed to have agreed in advance to such transfer in this paragraph.
Article 16 Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Japan, and in the event of any dispute regarding these Terms, the court having jurisdiction over the location of the Company's head office shall be the exclusive court of agreed jurisdiction in the first instance.
