Gift Card Terms and Conditions

Article 1 (Purpose)
These Terms set forth the conditions of use for the electronic gift cards (hereinafter referred to as "the Gift Card") issued by Midwave, Inc. (hereinafter referred to as "the Company"). Purchasers and users shall use the Gift Card upon agreeing to these Terms.
Article 2 (Definitions)
The terms used in these Terms shall be defined as follows:
- Gift Card: An electronic prepaid payment instrument issued by the Company that can be used to purchase products or services within the Company's services
- User: A person who has lawfully acquired, holds, or uses the Gift Card
- Gift Code: A unique code required to use the Gift Card
- Balance: The unused amount available on the Gift Card
Article 3 (Issuance and Purchase)
The Gift Card may be purchased through the methods designated by the Company. The Gift Card can only be used up to the amount specified at the time of purchase, and additional top-ups are not permitted.
Article 4 (Use)
The Gift Card may only be used for the purchase of products or services offered within the Company's services. If the balance is insufficient to cover the amount of use, the user shall pay the shortfall through methods designated by the Company.
Article 5 (Validity Period)
The validity period of the Gift Card shall be 180 days from the date of purchase. Once the validity period has expired, the Gift Card shall become invalid regardless of any remaining balance, and any unused balance shall expire. No refund or other compensation will be provided for expired balances.
Article 6 (Transfer)
The Gift Card may be given as a gift to a third party. However, transfers for commercial resale or by any other method that the Company deems inappropriate are prohibited.
Article 7 (Management and Unauthorized Use)
Users shall manage the Gift Code at their own responsibility. The Company shall not be liable for any damages arising from loss, theft, leakage, or unauthorized use.
Article 8 (Prohibition of Fraudulent Acquisition and Use)
If the Company determines that the Gift Card has been fraudulently acquired or used, the Company may suspend its use or invalidate it without prior notice. In such cases, no refund or other compensation will be provided.
Article 9 (Refund and Redemption)
The Gift Card cannot be refunded, redeemed, or exchanged for cash, except as required by law.
Article 10 (System Failures, etc.)
The Company may temporarily suspend the use of the Gift Card due to system failures, maintenance, or other unavoidable reasons. The Company shall not be liable for any damages arising therefrom.
Article 11 (Disclaimer)
Except in cases of willful misconduct or gross negligence on the part of the Company, the Company shall not be liable for any damages arising in connection with the use of the Gift Card.
Article 12 (Changes to These Terms)
The Company may change these Terms as necessary. The revised Terms shall take effect from the time they are announced through methods designated by the Company.
Article 13 (Governing Law and Jurisdiction)
These Terms shall be governed by the laws of Japan, and any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Company's head office as the court of agreed jurisdiction.
