Affiliate Terms and Conditions

These Terms and Conditions set forth the basic matters concerning the conditions for participation in and rewards for the "Paint Yours Affiliate Program" (hereinafter referred to as "the Program") operated by Midwave Inc. (hereinafter referred to as "the Company"). Anyone participating in the Program (hereinafter referred to as "Partner") shall be deemed to have agreed to these Terms and Conditions.

Article 1 (Program Details)

  1. Partners may introduce the Company's products and services using affiliate links or coupon codes designated by the Company.
  2. If an order is placed through a Partner's introduction, rewards will be paid according to the prescribed conditions.

Article 2 (Conditions for Reward Generation)

  1. Rewards are generated based on orders purchased by customers on the Company's site via affiliate links or dedicated coupon codes.
  2. Eligible orders for rewards are limited to those approved by the Company. Orders that are canceled, returned, or fraudulent are not eligible for rewards.

Article 3 (Reward Calculation Standards)

  1. The amount eligible for reward calculation shall be the product price (including tax) minus shipping fees, payment processing fees, coupons, and other discount amounts.
  2. The reward rate or reward amount will be separately determined by the Company and displayed on the Program's administration screen or the Company's website.

Article 4 (Performance Measurement and Management)

  1. Performance measurement, reward calculation, and management for this Program will be conducted based on the system of "Affitch," an external service used by the Company.
  2. Partners agree that the performance data recorded by the Affitch system shall be the final determination of performance.
  3. The Company shall not be responsible if performance is not accurately recorded due to system failures of Affitch, communication issues, or the Partner's usage environment.

Article 5 (Reward Approval and Payment)

  1. Rewards will be "approved" if 30 days have passed since the order was placed and the Company deems there are no issues.
  2. Rewards approved by the end of each month will be totaled and paid on the 15th of the following month. However, if the 15th falls on a financial institution holiday, payment will be made on the next business day.
  3. Payment will be made via bank transfer to the bank account registered by the Partner. The Company will bear the transfer fees.
  4. Reward payments are limited to cumulative amounts of 5,000 JPY or more. Amounts less than this will be carried over to the following month or later.
  5. If an eligible order is canceled or refunded after payment, the corresponding amount will be deducted from subsequent rewards.

Article 6 (Changes to Reward Amounts, etc.)

  1. The Company may change reward amounts, calculation standards, approval conditions, payment methods, etc., as necessary.
  2. Changes shall become effective upon their announcement on the Company's website or administration screen.
  3. If a Partner continues to use the Program after a change, they shall be deemed to have agreed to the change.

Article 7 (Prohibited Acts)

  1. Acts of obtaining rewards through false orders, fraudulent clicks, etc.
  2. Use of false or misleading advertising expressions.
  3. Acts that infringe on the Company's intellectual property rights.
  4. Acts that violate public order and morals or laws and regulations.

Article 8 (Termination of Contract)

  1. If a Partner violates these Terms and Conditions, the Company may immediately suspend or terminate their eligibility to participate in the Program.
  2. The Company may demand the return of any rewards already paid due to a violation of these Terms and Conditions.

Article 9 (Disclaimer)

  1. The Company shall not be liable for any damages incurred by Partners due to the interruption, modification, or termination of this Program.
  2. The Company shall not be involved in any disputes arising between a Partner and a third party.

Article 10 (Changes to Terms and Conditions)

The Company may change these Terms and Conditions if it deems necessary. The revised Terms and Conditions shall become effective when posted on the Company's website.

Article 11 (Governing Law and Jurisdiction)

These Terms and Conditions shall be governed by the laws of Japan, and in the event of any dispute arising in connection with these Terms and Conditions, the Tokyo District Court shall be the exclusive court of first instance with agreed jurisdiction.
